2. Platform Description

CourierHub operates as a comprehensive digital technology platform designed to provide tools, information, account management, and platform functionality for courier and delivery drivers. The Platform provides operational tools, dashboards, account management systems, analytics, financial tracking, tax calculators, AI assistance, and administrative features to support driver operations and business management.

2.1 Courier Dashboard & Account Systems

• Personalised driver dashboards for account management and operational oversight
• Driver profile and account management systems
• Activity tracking, reporting, and analytics interfaces
• Multi-platform integration capabilities for delivery service providers

2.2 Earnings & Financial Tools

• Earnings tracking and income monitoring systems
• Expense logging and categorisation tools
• Profitability analysis and operational cost calculators
• Payment history and transaction management

2.3 HMRC & Tax Estimation Tools

• Self-assessment tax estimation calculators
• Mileage tracking and allowance calculators
• Deductible expense guidance and categorisation
• Tax year planning and savings estimation tools

2.4 AI Assistant & Document Tools

• AI-powered courier assistant for guidance and support
• Digital document generation and management
• Template creation for common courier documentation
• Automated content generation for operational needs

2.5 Onboarding & Coverage Management

• Digital onboarding systems for courier services
• Coverage management and administration portals
• Vehicle and driver information management

CourierHub does not guarantee the accuracy, completeness, or suitability of any information provided through the Platform. Users remain solely responsible for compliance with all applicable laws, regulations, tax obligations, and industry requirements.

2.6 User Responsibility

By using the Platform, you acknowledge and agree that:

• You are responsible for the accuracy, completeness, and currency of all information you submit
• You must ensure all documentation, certificates, and coverage information is accurate and current
• You are responsible for regularly reviewing your account details and coverage information
• You accept full liability for any losses arising from inaccurate or outdated information supplied by you

2.7 No Professional Advice

All information provided through the Platform is for general informational purposes only. Nothing on the Platform constitutes legal, financial, tax, insurance, or professional advice. You should seek independent professional advice where appropriate, including from qualified accountants, solicitors, tax advisors, and insurance professionals.

3. Eligibility & Account Requirements

3.1 User Eligibility

To access and use the Platform, you must meet the following eligibility requirements:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity and authority to enter into binding agreements
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account details to keep them accurate
• Use lawful and authorised payment methods for all transactions
• Comply with all applicable United Kingdom laws and regulations
• Not be prohibited from using the Platform under any applicable laws

3.2 Account Registration

Certain features and services require account registration. When registering, you agree to provide truthful, accurate, and complete information and to update such information as necessary. You are responsible for all activities that occur under your account.

3.3 Platform Rights

CourierHub AI reserves the right, in its sole discretion and without prior notice, to:

• Deny onboarding or registration to any applicant for any reason
• Suspend or terminate accounts at any time
• Request additional verification documents or information
• Restrict access to certain features based on risk assessment signals
• Decline or reverse transactions deemed suspicious or fraudulent
• Implement additional identity verification procedures

4. Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any other authentication information. You agree to:

• Create a strong, unique password and not share it with any third party
• Immediately notify CourierHub AI of any unauthorised access or security breach
• Ensure you log out from your account at the end of each session
• Not allow any other person to use your account credentials
• Keep your devices and access points secure from unauthorised users
• Regularly review your account activity for suspicious transactions

4.1 User Responsibility

You acknowledge and accept full responsibility for all activities that occur under your account, whether or not authorised by you. This includes any actions taken by third parties who gain access to your account through your negligence or failure to maintain adequate security.

4.2 Security Measures

While we implement reasonable security measures to protect your account, no system can guarantee absolute security. We encourage users to enable all available security features, including two-factor authentication where offered.

5. Payments, Billing & Subscriptions

5.1 Recurring Billing

Certain Platform services operate on a recurring subscription basis. By subscribing to such services, you expressly authorise CourierHub AI and our designated payment processors to charge your provided payment method on a recurring basis (monthly, annually, or as otherwise specified) until you cancel your subscription in accordance with these Terms.

5.2 Payment Processing & Stripe

All payments are processed by Stripe, a third-party payment processor. CourierHub does not store, process, or have access to your full payment card information. By providing payment information, you authorise Stripe to process payments on our behalf. You agree to comply with Stripe's terms of service and payment processing requirements.

5.3 Failed Payments

In the event of a failed payment, we may:

• Attempt to reprocess the payment using the same or alternative payment methods
• Suspend or restrict access to Platform services
• Apply late fees or administrative charges as permitted by law
• Terminate your subscription and account access
• Refer outstanding balances to collection agencies

5.4 Renewals and Cancellations

Coverage and subscriptions may renew automatically unless cancelled before the renewal date. Users may cancel future renewals through their account dashboard at any time. Cancellation of renewal does not automatically entitle you to a refund of amounts already paid. Refund requests are subject to our Refund Policy and are reviewed individually.

5.5 Refund Requests

Refund requests are reviewed on an individual basis and approval is not guaranteed. CourierHub reserves the right to investigate refund requests and may request supporting documentation and information. Refunds, if approved, will be processed according to our Refund Policy. Payment disputes should first be raised through our support channels before initiating chargebacks.

All prices are displayed in British Pounds Sterling (GBP) unless otherwise stated. Prices may be subject to Value Added Tax (VAT) and other applicable taxes, which will be clearly displayed at checkout. We reserve the right to modify pricing at any time, with reasonable notice provided for existing subscribers.

5.8 Fraud Monitoring

We employ fraud prevention monitoring systems to protect our platform and users. Transactions may be delayed, declined, or reversed if suspicious activity is detected. We are not liable for any inconvenience or losses arising from fraud prevention measures.

6. Coverage & Third-Party Services

6.1 Third-Party Arrangements

Coverage-related products and services available through the Platform may be arranged, administered, supported, or facilitated through third-party providers, administrators, underwriters, or business partners. CourierHub AI acts as a digital operational platform facilitating onboarding, account management, coverage administration, and related courier services.

6.2 Eligibility & Verification

Access to coverage products may be subject to:

• Eligibility checks and verification procedures
• Vehicle, driver, and operational requirement assessments
• Information verification through external databases and systems
• Risk assessment and acceptance criteria determined by third parties
• Geographic, regulatory, or operational restrictions

6.3 Pricing & Availability

Pricing for coverage products may vary based on multiple factors including but not limited to vehicle type, driver history, delivery type, coverage duration, and risk assessment outcomes. Availability of products is not guaranteed and may change without notice.

6.4 External Systems

The Platform may integrate with, reference, or utilise external systems, databases, APIs, and third-party services. CourierHub is not responsible for the availability, accuracy, or functionality of such external systems.

6.5 Third-Party Service Providers

CourierHub may rely on third-party providers including payment processors (such as Stripe), hosting providers, technology services, coverage administrators, and other service providers. CourierHub is not responsible for the availability, actions, decisions, policies, or failures of third-party providers. Use of third-party services is subject to their respective terms and policies. By using the Platform, you acknowledge that third parties may have access to your data as necessary to provide services.

7. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

7.1 Prohibited Activities

• Engaging in fraud, deception, or misrepresentation of any kind
• Providing false, misleading, or inaccurate information
• Impersonating any person or entity, or falsely claiming affiliation
• Abusing onboarding systems, eligibility processes, or verification procedures
• Scraping, data mining, or automated extraction of Platform content
• Reverse engineering, decompiling, or disassembling Platform software
• Using bots, scripts, or automated tools without express authorisation
• Engaging in payment fraud, chargeback abuse, or financial manipulation
• Conducting illegal activities or violating any applicable laws
• Attempting to compromise, attack, or disrupt Platform systems
• Misusing AI tools for harmful, deceptive, or illegal purposes
• Reselling, redistributing, or commercialising Platform services without permission
• Circumventing security measures, access controls, or usage limitations
• Harassing, threatening, or abusing Platform staff or other users
• Uploading malicious code, viruses, or harmful content

CourierHub reserves the right to investigate suspected violations and take any action deemed necessary to protect the Platform, our users, and our business interests.

7.2 Fraud and Misuse

CourierHub may immediately suspend, restrict, or terminate accounts where fraud, abuse, false information, false statements, chargeback abuse, or misuse of the Platform is suspected or identified. CourierHub may:

• Suspend or terminate account access without prior notice
• Investigate suspected violations and request information or documentation
• Recover losses through civil proceedings
• Cooperate with law enforcement and regulatory authorities where required
• Report suspected fraud to relevant financial and fraud prevention networks

8. AI Tools & Generated Content

8.1 Nature of AI Services

The Platform includes artificial intelligence (AI) powered tools and features that generate content, provide suggestions, answer queries, and assist with various operational tasks. These AI services are provided as informational and productivity tools.

8.2 Limitations & Disclaimers

You acknowledge and agree that:

• AI-generated outputs are for informational purposes only
• Users must independently verify all AI-generated content before relying upon it
• No guarantee of accuracy, completeness, or fitness for purpose is provided
• AI outputs do not constitute legal, tax, financial, or professional advice
• Generated content may vary and is not guaranteed to be consistent
• AI tools may produce errors, inaccuracies, or inappropriate responses

8.3 Content Ownership

While you retain rights to your input data, CourierHub AI may use aggregated, anonymised data to improve our AI systems. Generated outputs may be subject to usage limitations as specified in these Terms.

9. Data Protection & Privacy

9.1 Regulatory Compliance

CourierHub processes personal data in accordance with applicable data protection legislation, including:

• UK General Data Protection Regulation (UK GDPR)
• Data Protection Act 2018
• Privacy and Electronic Communications Regulations

9.2 Data Processing

Our collection, use, and handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to such processing and warrant that all data provided by you is accurate.

9.3 Security Measures

We implement appropriate technical and organisational measures to protect personal data, including:

• Encrypted data transmission using industry-standard protocols
• Secure data storage with access controls
• Regular security assessments and monitoring
• Limited data retention periods
• Secure payment processing through certified providers

9.5 Availability & Service Modifications

CourierHub does not guarantee uninterrupted availability of the Platform. Services may be temporarily or permanently modified, suspended, or updated without prior notice for maintenance, improvements, security updates, or other operational reasons.

You acknowledge that interruptions to service availability are an inherent risk of using internet-based platforms. CourierHub is not liable for any loss, damage, or inconvenience arising from service interruptions, unavailability, or modifications to Platform functionality.

10. Intellectual Property

10.1 CourierHub Property

CourierHub and its licensors own and retain all rights, title, and interest in and to:

• The CourierHub brand, name, logos, and trademarks
• All Platform software, code, and technical systems
• Dashboard designs, user interfaces, and visual elements
• AI systems, algorithms, and machine learning models
• Workflows, processes, and operational methodologies
• Website design, content, and documentation
• All other proprietary materials and intellectual property

10.2 User Content

You retain ownership of information and content you submit to the Platform, subject to the licence granted to CourierHub to use, process, and store such content as necessary to provide the Services.

10.3 Restrictions

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any CourierHub AI intellectual property without express written permission. Unauthorised use may result in legal action.

11. Refunds & Cancellations

11.1 Refund Assessment

Refund requests are assessed on a case-by-case basis at CourierHub AI's sole discretion. Refunds may be considered in circumstances including:

• Technical failures attributable to Platform errors
• Duplicate or erroneous charges
• Unauthorised billing requiring investigation
• Services not delivered as described due to our fault

11.2 Non-Refundable Situations

11.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of billing periods.

12. Disclaimers & Limitation of Liability

12.1 Service Disclaimer

To the fullest extent permitted by applicable law, CourierHub expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of Platform content
• Warranties that the Platform will be uninterrupted, error-free, or secure
• Warranties regarding the results obtainable from use of the Platform

12.2 No Guarantees

CourierHub does not guarantee:

• Uninterrupted or continuous access to the Platform
• Error-free operation of any systems or features
• Availability of specific features or services
• Accuracy of pricing, calculations, or estimations
• Specific eligibility outcomes or results
• Third-party service availability or performance

12.3 Limitation of Liability

To the maximum extent permitted by applicable law:

• CourierHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• CourierHub shall not be liable for loss of profits, revenue, data, or business opportunities
• CourierHub shall not be liable for business interruption or operational losses
• CourierHub shall not be liable for any inaccurate information supplied by users
• CourierHub shall not be liable for actions, failures, or policies of third-party service providers
• CourierHub shall not be liable arising from service interruptions or unavailability
• Our total aggregate liability shall not exceed the amounts paid by you to CourierHub in the twelve (12) months preceding the claim

13. Indemnification

You agree to indemnify, defend, and hold harmless CourierHub, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Platform
• Your violation of these Terms or any applicable laws
• Your infringement of any third-party rights
• Any fraudulent, deceptive, or unlawful activity by you
• Any content or information you provide to the Platform
• Payment disputes, chargebacks, or financial claims you initiate
• Any claims arising from your failure to comply with Platform policies

14. Termination & Suspension

14.1 Our Rights

CourierHub reserves the right, in its sole discretion and without prior notice or liability, to:

• Suspend your account access temporarily or indefinitely
• Terminate your account and access to the Platform
• Restrict access to specific dashboards, tools, or features
• Remove or disable content associated with your account
• Investigate account activity and take appropriate action

14.2 Grounds for Action

Actions may be taken for reasons including but not limited to:

• Suspected or confirmed fraudulent activity
• Abuse of Platform services or systems
• Suspicious account behaviour or risk signals
• Payment failures, disputes, or financial issues
• Violations of these Terms or Platform policies
• Legal or regulatory requirements
• Protection of Platform integrity or other users

14.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect.

15. Changes to Services

CourierHub AI reserves the right to modify, update, or discontinue any aspect of the Platform at any time, including:

• Adding, modifying, or removing features and functionality
• Changing pricing, billing terms, or subscription structures
• Updating dashboard designs, interfaces, or user experiences
• Modifying or discontinuing tools, calculators, or AI features
• Changing third-party integrations or service providers

16. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
